| Fallshaw believes
good business is mutually profitable, and the best way to achieve this is
through freely entered contracts whereby all parties are in possession of
sufficient facts to properly safeguard both their own interests and those
with whom they trade. Fallshaw will strive to make their needs properly known through specifications and drawings (hereafter called 'specifications') and delivery schedules ('schedules'). The specifications will normally specify the end use. Fallshaw normally trade by offering supply contracts of a length appropriate to the complexity of the part and its importance to the maintenance of our quality standards. This is normally from 3 months to 12 months. Suppliers should ensure they fully understand the specifications. If not, they should ask for clarification. They should not quote if they are uncertain. Fallshaw undertakes to make all details clear. Suppliers should not quote if they cannot meet the schedules. Fallshaw expects suppliers to suggest better ways of supplying inputs to improve quality or price, and will process such suggestions promptly, and if appropriate, adopt them. In any round of quoting, a supplier who suggests a better way will have that recognised as quotes are being compared. In subsequent rounds it will be part of the specification against which all may quote, but an existing supplier will always have preference. Fallshaw strive constantly for a better knowledge of the materials and processes of manufacture. It wishes to involve its staff in any training offered by its suppliers that will further its knowledge of products or processes offered that are relevant to its needs. Fallshaw will offer a prompt and courteous reception to all who have a legitimate business mission. In return it expects its suppliers to only deal with it through properly trained and knowledgeable representatives. Fallshaw's preferred way of dealing with new products, or suggestions for change to its specifications, is to receive the request and justifying material in writing by mail, fax or email followed by a phone call to set up an appointment. If appropriate, Fallshaw will involve a range of technical staff in that meeting, and will normally send a range of questions to be answered in advance. Fallshaw wants honesty and truth in its commercial dealing, and denounces all forms of bribery. All Fallshaw staff are instructed to declare a gift, hospitality or gratuity of any form from a supplier (or associated entity) to themselves (or any related entity) to their manager. Fallshaw staff may attend trade shows or other legitimate training with the knowledge and approval of their Manager. If there are any fees attached to such attendance these will be paid by Fallshaw. Any supplier found to be offering an undisclosed inducement to Fallshaw's staff to buy or specify in a manner other than to obtain the maximum ultimate value for Fallshaw will be removed from the Approved Supplier List, and, if appropriate, reported to the Police. Fallshaw's staff are instructed to declare to their Manager any conflict of interest between themselves (or related parties) and Fallshaw. In the case of a conflict of interest, another Fallshaw Manager may finish a particular transaction. Any information supplied by Fallshaw to suppliers is on a 'commercial in confidence' basis, and must be kept secure. This includes specifications, schedules, discussion on future plans, and any other matter that might offer benefit to competitors. All Fallshaw staff are employed with the condition they report to a superior officer any conduct they consider against Fallshaw or the community interest.
