| Conditions of Purchase for Services |
| General: Fallshaw seeks uncomplicated dealings with their suppliers, untroubled by uncertainties or confusion. We achieve this by starting with clear instructions: |

| 1. | Where an adequately described outcome is possible, Fallshaw will make this clear in a Brief, and you should quote to achieve that outcome. |
| 2. | Where there is uncertainty as to what is needed, or how to achieve it, you must quote in a 2-stage process. Initially quote for sufficient work to clarify what is needed (i.e. a clear Brief), and only after that is clear should you quote for the main work to satisfy that Brief. |
Fallshaw is certified to ISO9001 which is a documented management system, and work done for us must be documented. Whatever form of service you perform, you must sufficiently document what you have done that you, or another suitably qualified expert, could maintain, extend or use that work for us, even after many years. A copy of the documentation must be given to Fallshaw before final payment is made. Ownership: The supplier of the services agrees that title and all rights and properties, both physical and intellectual, associated with a service rendered to Fallshaw, shall transfer to Fallshaw upon payment. Design: Any design that cannot ensure accuracy at the first use should be done to allow for the minimum amount of correction after trialling to bring the service to specification. The design should allow for a long life, and if the estimated life affects the cost of the work, this should be clear in the Brief. Standards: Australian Standards are assumed to apply to any services supplied to us. If you wish to use other standards when there is an Australian standard published, you must have Fallshaw's written permission. If there are no Australian Standards published, indicate which overseas standard or industry code will apply to your work. Delivery: Delivery should be agreed in advance, and stated on your quotation. Terms of Payment: To be agreed in advance, or will be paid 45 days monthly. Acceptance: Acceptance of the order implies your willingness to deliver a successful outcome within the quoted time and price. Reliance on Legal Rights: We rely on our legal rights as legislated by the State of Victoria, and the Trade Practices Act of the Commonwealth of Australia, and relevant Acts or Regulations of either Parliament. We expect you to have skill and judgement, and the goods and services you supply to be fit for the purpose for which they were bought. If the purpose is not clear, you must enquire so you understand the purpose of your service. If a commercial dispute arises between us we prefer it to be resolved by a mutually agreed conciliator with technical expertise in the relevant area. If we still cannot agree, the law of the State of Victoria will apply. Patents and Trademarks: It is assumed you have the right to sell us the services (and any goods) in the manner you propose, and any agency, patent or trademark action brought because of services supplied by you will be resolved by you at your cost. Purchasing Code of Behaviour: Fallshaw publishes a Purchasing Code of Behaviour to regulate relationships between suppliers and Fallshaw. You should have a copy of that; if not, ask for it. Continued dealing with Fallshaw implies acceptance of the Purchasing Code of Practice. If you do not accept it, you should notify our Purchasing Officer and cease to deal with us. See also...
